By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. You refers in all cases to you, the specific individual accessing this Site, as well as any and all individuals and/or entities on whose behalf you are acting and/or who may have rights through you. If you do not agree, please do not use the Site.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal, informational, and non-commercial business purposes. All rights not expressly granted are reserved.
Forms, submissions, and feedback
If you submit information through the Site (for example, via a contact form or the ROI model) or provide feedback, you represent that the information is accurate and that you have the right to provide it. You grant us a non-exclusive, worldwide, royalty-free license to use feedback you provide to improve our offerings, without obligation to you. Please do not submit any confidential, sensitive, or protected health information (PHI) through the Site's general forms.

AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify and hold harmless UCP Merchant Medicine, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or your violation of these Terms or applicable law.
You agree that any claim or cause of action arising out of or relating to your use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or be permanently barred. This limitation applies regardless of any statute or law to the contrary.
Changes to the Site and these Terms
We may modify, suspend, or discontinue the Site or any part of it at any time without notice. We may also update these Terms from time to time. When we do, we will revise the “Effective date” above. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
Miscellaneous
Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Site and supersede any prior agreements regarding the Site.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Survival. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, intellectual property provisions, disclaimers, indemnification, and limitations of liability.
Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
